And to ultimately meet this end, we have developed the Hikma Code of Conduct, which is intended to provide all Hikma employees with a clear understanding of the principles of business conduct, standards, and ethics that are expected of them. We entrust each and every member of our global team to uphold and abide by the provisions and principles set out therein.
As of the year 2006, the Company's Code of Conduct was officially put into practice, and later in 2009, it was incorporated into the induction process for all new employees. Commencing in 2010, the Code will be included in performance appraisals for all employees.
Following is a summary of Hikma Pharmaceuticals Code of Conduct, to be used a general guideline governing employee conduct at all times, and at all geographic locations. It is intended that these principles will provide a company-wide framework which will facilitate smooth operations and the achievement of our corporate goals and objectives.
Fiduciary (Trust) Principle:
Employees shall promote the company’s interests professionally and diligently by maintaining its economic wellbeing, safeguarding its resources, and providing a fair and competitive or improved return on investment.
Employees should be loyal to Hikma Pharmaceuticals by disclosing potential conflicts between personal and company interests, as well as refraining from actions that involve conflicts of interest such as self-dealing and competing with Hikma. Furthermore, employees should refrain from trading in Hikma shares on the basis of confidential insider information.
Property Principle:
It is the responsibility of Hikma employees to protect the company’s assets, including all confidential and proprietary information, funds, and equipment. Employees are also expected to respect competitors’ property rights, including those regarded as intellectual property.
Reliability Principle:
Hikma agrees to pay all suppliers and partners on time and in accordance with agreed-upon terms. Furthermore, Hikma employees are expected to honor all promises and agreements, as well as fulfill obligations to all parties.
Transparency Principle:
All Hikma employees agree to be honest and truthful at all times and in all activities. They should avoid deceptive and misleading statements and omissions in customer-related activities, such as marketing, sales, and research. Hikma employees also agree to deal with suppliers and partners honestly, and to provide investors with relevant, accurate and timely information.
Hikma will follow an accurate and fair record transaction process, engaging in transparent accounting and financial reporting.
All this shall be done through open and honest communication with all relevant parties and in adherence to independent auditing and financial reporting standards.
Dignity Principle:
All Hikma employees will respect the dignity and human rights of others and adopt work practices accordingly.

Hikma regards privacy as an essential aspect of its operation and promises to respect and maintain the privacy of its customers and employees.

Fairness Principle:
Hikma agrees to deal fairly with all of the Company’s suppliers, customers, contractors, competitors, employees and shareholders, as well as act fairly in all of its activities, including pricing, licensing and rights to sell.
